A Sales Agreement (also called a sale-of-goods contract or sales contract) is a legally binding document that records the terms under which a seller transfers ownership of goods to a buyer in exchange for payment. It spells out exactly what is being sold, how much it costs, when and where the goods will be delivered, who bears the risk of loss, and what happens if something goes wrong. Putting these terms in writing protects both parties and removes the ambiguity that leads to costly disputes.

This Sales Agreement template gives small business owners, freelancers, wholesalers and individual traders a professional, ready-to-use starting point. Instead of paying for a lawyer to draft a contract from scratch, you simply answer a few guided questions - the names of the parties, a description of the goods, the purchase price, delivery details and governing law - and Docuzina generates a polished, signature-ready document you can download as a PDF or Word file.

When should you use this Sales Agreement template?

Use this template whenever goods are changing hands and you want a clear, enforceable record of the deal. Common situations include selling equipment, inventory, vehicles, machinery, raw materials or finished products; supplying a recurring buyer under agreed terms; or documenting a one-off, high-value transaction between two businesses. It is equally useful for a freelancer selling physical products, a startup buying office assets, or an established company formalising a supplier relationship.

What this Sales Agreement covers

The template captures every essential clause of a robust sale-of-goods contract: identification of the seller and buyer, a description of the goods, the purchase price and payment method, delivery arrangements, transfer of title, risk of loss, warranties (sold "as is"), inspection and acceptance, claims and remedies, cancellation rights, notices, arbitration for dispute resolution, and standard general provisions such as governing law, assignment and entire-agreement clauses. It closes with an execution block for signatures, a witness, and a company common seal.

Why use Docuzina to create your Sales Agreement

Docuzina turns a static legal form into an interactive template. Every blank in the traditional document becomes a guided question with helpful placeholder text, so you never miss a detail. Dates, currency amounts and party names flow automatically into the finished contract. You can preview the document before downloading, export it as a clean PDF or an editable Word file, and send it for electronic signature. The result is a professional agreement in minutes — no legal jargon, no expensive drafting fees.

Note: This template reflects common commercial contract practice and, by default, references Nigerian law (the Arbitration and Conciliation Act and the laws of the Federal Republic of Nigeria). All governing-law, currency and venue fields are fully editable, so you can adapt it to your own jurisdiction. It is provided for general informational purposes and is not a substitute for legal advice — consult a qualified lawyer for high-value or complex transactions.
