Sales Agreement Template

This is a fill-in-the-blank sales agreement template for selling something - goods, equipment, or property - from one person or business to another, adaptable for any jurisdiction. It's built for anyone handling a one-off sale rather than an ongoing service relationship: a freelancer selling off equipment, a small shop moving inventory, or a business buying assets from another company. 

The bulk of it nails down the practical questions, exactly what's being sold and in what condition, how much it costs, when and how the money gets paid (including a deposit and interest if payment is late), where and when the item shows up, who pays for shipping, and the precise moment ownership and responsibility for damage shift from seller to buyer. 

It also has both sides make promises about themselves, the seller actually owns the item free of any liens, the buyer actually has the money, and spells out who covers the costs if one of those promises turns out to be false, with a ceiling on how much either side can be forced to pay. 

Further sections cover what counts as breaking the deal and how long you get to fix it, how either side can walk away before the handover, keeping each other's business information private, and a required attempt to talk things out before anyone heads to arbitration or court.
