What is a Sales Agreement and how is it different from an invoice?
A Sales Agreement is a binding contract that sets out the full terms of a sale - the parties, the goods, the price, delivery, warranties, risk and dispute resolution - and is signed by both the buyer and the seller. It shifts responsibility for inspecting the goods onto the buyer before purchase. If you are the buyer and expect specific quality guarantees, you should negotiate and add express warranties rather than relying on the default "AS IS" clause.
Who bears the risk if the goods are damaged during delivery?
Under this template, risk of loss passes to the buyer from the moment the goods are handed to the carrier for delivery. The buyer is also expected to insure the goods, at its own expense, until the seller has been paid in full. Disputes are resolved by arbitration rather than going straight to court. A single arbitrator is appointed by mutual agreement of the parties; if they cannot agree within the stated window, the template sets out a fallback appointment procedure.
