Sample Service Level Agreement

This document serves as a template for a Service Level Agreement (SLA) between a Client and a Service Provider. It establishes a formal contract defining the scope of professional services, performance metrics, and the respective responsibilities of both parties. 

Key sections include financial terms such as payment schedules, Value Added Tax (VAT), and Withholding Tax (WHT) compliance, alongside requirements for data protection under the Nigeria Data Protection Act (NDPA). 

The agreement also outlines intellectual property rights, specifying that custom deliverables vest in the Client upon full payment, while pre-existing IP remains with the original owner. 

Furthermore, it details terms for contract duration, renewal, and termination, including provisions for "For Cause" and "For Convenience" exits. 

Finally, it provides a structured dispute resolution process involving amicable negotiation, mediation, and binding arbitration, ensuring legal clarity and governance under Nigerian law.
