About this template

A partnership-style memorandum of understanding you can customize and download in minutes

A memorandum of understanding (MOU) records a shared understanding between two partners who agree to collaborate toward a common purpose. This template is a standard, plain-English, jurisdiction-neutral format modelled on a real institutional partnership MOU, but rewritten to work for any two organizations and any purpose - a public-private collaboration, an NGO or donor partnership, a research or training initiative, a supplier or channel relationship, or any project two parties want to deliver together. It keeps the practical structure of a strong partnership MOU: background, purpose, each partner's commitments, a joint committee and review process, and clear duration and termination terms.

Just answer a few simple questions - the two partners, the background and purpose, each partner's commitments, the review cycle and duration - and your personalized MOU is generated instantly, ready to download as PDF or Word.

What this MOU includes

- Clear identification of the two Partners

- A background section explaining the context and why the partners are collaborating

- The purpose of the MOU, defined as the "**Project**", written to adapt to any collaboration

- Separate commitments sections for Partner 1 and Partner 2, so each side's contributions and responsibilities are set out clearly

- A Joint Committee, monitoring and review clause - equal representation, a review cycle you choose (for example quarterly), and a mechanism for early resolution of concerns

- Duration and termination, including amendment by written acceptance, termination on completion or on notice, and required discussion before termination

- A confidentiality clause, a clear status clause (a cooperation framework that is not binding except confidentiality and governing law), a no-partnership clause, costs, notices, and standard boilerplate

- A governing-law clause you choose and a signature block for both partners and a witness

How to create your MOU

2. Answer the guided questions - the partners, the background and purpose, each partner's commitments, the review cycle and duration.

3. Generate the document - your details are merged into the MOU automatically.

4. Review and download as PDF or Word, then have both partners sign.

Who is this MOU for?

Government bodies, NGOs, donors, companies, associations and community organizations that want to formalize a partnership with another organization before (or instead of) a full contract. Because it is jurisdiction-neutral and purpose-agnostic, you choose the governing law and describe the background, purpose and commitments, so the same format works across sectors and countries.

Disclaimer: This template is provided for convenience and general information only and is not legal advice. Whether an MOU (or any part of it) is legally binding depends on its wording and local law, and public-sector or donor partnerships may need specific approvals. For high-value or regulated arrangements, have the final document reviewed by a qualified lawyer before signing.

Frequently asked questions
What is a memorandum of understanding (MOU) and when should I use one?

An MOU is a document that records a shared understanding between two partners who agree to collaborate toward a common purpose. Use one when two organizations want to formalize a partnership — a public-private collaboration, an NGO or donor initiative, a research or training programme, or a supplier relationship — by setting out the background, the purpose, what each side commits to, and how progress will be reviewed, usually before (or instead of) a full contract.

Can I use this template for any kind of partnership?

Yes. Although it was modelled on a government-and-development-partners MOU, it has been rewritten to be purpose-agnostic and jurisdiction-neutral. You describe the background, purpose and each partner's commitments in your own words and choose the governing law, so the same format works for institutions, companies, NGOs, associations or community groups in any sector.

Is this MOU legally binding?

It is mainly a cooperation framework and statement of intent rather than a full contract. The template says so clearly, while treating confidentiality and governing law as binding. Whether any part is enforceable depends on its wording and local law, so for firm commitments — especially funding or deliverables — the partners should follow up with a definitive agreement.

How are each partner's commitments and the review process handled?

Each partner sets out its commitments in its own section, so responsibilities are clear on both sides. The MOU also establishes a Joint Committee with equal representation that streamlines targets, reviews progress on the cycle you choose (for example quarterly), and resolves issues. The partners commit to regular dialogue and to raising serious concerns early.

How long does the MOU last, and how can it be ended?

You set the duration (for example two years, subject to review). The MOU can be amended only by the written acceptance of both partners, and it ends when the Project is complete or on the written notice period you set — with the partners required to hold a full discussion before terminating. Confidentiality continues after the MOU ends.

Which law governs the MOU?

You choose the governing law, so the template is not tied to one country. This makes it suitable for cross-border partnerships as well as domestic ones. For public-sector, donor-funded or regulated collaborations, check whether any additional approvals or formalities are required in your jurisdiction before signing.
