What is a mutual confidentiality agreement?

A mutual confidentiality agreement (also called a two-way or mutual NDA) is a contract in which both parties agree to keep each other's confidential information secret. Because information flows in both directions, each party is at once a Disclosing Party and a Receiving Party, and both are equally bound to protect what they receive.

How is this different from your full mutual NDA template?

When should I use it?

Does spoken (oral) information count as confidential?

Yes, but with a condition. Information disclosed orally is only protected if it is identified as confidential or proprietary at the time of disclosure and that status is confirmed in writing afterwards. This is a common requirement in short-form NDAs, so it's good practice to follow up important verbal disclosures with a quick written note.

What information does the agreement protect?

It protects "Information" that a party has expressly or implicitly protected from unrestricted use — including patent applications, inventions, formulae, processes, trade secrets, customer lists, business plans, projections, research, finances, marketing, software code and documentation, along with anything relating to those.

What is NOT protected?

The agreement excludes information that is or becomes public from a source other than the Disclosing Party, information the Disclosing Party has released for disclosure, information lawfully received from a third party, information the Receiving Party developed completely independently, and information that must be disclosed to comply with the law. Disclosures within these exclusions are not treated as a breach.

How long does confidentiality last?

You set the term when you generate the document; for example, the obligations may run for five years from the disclosure. You can adjust this to suit your needs.

Do materials have to be returned?

Yes. Unless the parties agree otherwise, any samples, drawings and other documents supplied by the Disclosing Party remain that party's exclusive property and must be returned promptly on written request.

Can I use the other party's information to serve my own clients?

No; not without permission. The agreement provides that neither party may use the other's Information in providing services to a third party, except in co-operation with the Disclosing Party, without that party's prior written consent.

Which law governs the agreement?

You choose. The template is jurisdiction-agnostic; you set the governing law when you generate the document, so it can reflect your country or the country of the other party.

Is this agreement legally binding?

Yes; once both parties' authorised representatives sign, it is a binding contract. As with any NDA, enforceability depends on your local laws and how the agreement is used, so for high-value matters have it reviewed by a qualified lawyer.
