What is this South African lease agreement for?
It is a legally binding contract in which a landlord leases property to a tenant for a fixed term in return for rent, governed by the laws of the Republic of South Africa. The template states that rent and other amounts are exclusive of VAT, which the tenant pays in addition where it is chargeable — a common arrangement for commercial leases in South Africa. You still set the rent figure, escalation rate, due day and first-payment terms.
Does the lease need to be registered at the Deeds Office?
For a long lease of land, South African practice is to register the lease against the property's title at the relevant Deeds Office (under the Deeds Registries Act and the Formalities in Respect of Leases of Land Act) so it binds future owners. The template includes a registration clause with a period you set. Whether registration is required depends on the length of the lease, so check with your conveyancer.
Can I use it for a ground lease where the tenant builds on the land?
Yes — the template is built with ground leases in mind. The tenant may make improvements (with the landlord's written approval, in line with the National Building Regulations) and grant a leasehold mortgage to finance construction, while the landlord's interest is protected from being pledged or subordinated. Improvements become the landlord's property at the end of the term.
