What is a joint venture agreement and when should I use one in Nigeria?
A joint venture agreement is a contract in which two parties agree to combine their resources to pursue a shared business opportunity while staying independent. Can I use this template for any kind of venture?
Yes. Although it was adapted from a mining joint venture, it has been rewritten to be general-purpose. You describe the purpose and each party's contributions in your own words, so the same format works for farming, trading, logistics, construction, technology, services or any other business in Nigeria.
How is the profit split set, and who bears losses?
You set the profit-sharing percentages for the Business Owner and the Partner (they must add up to 100%). Profits are calculated after deducting operational expenses and taxes, and distributed on the schedule you choose — monthly, quarterly or annually. Unless you agree otherwise, losses are shared in the same ratio as profits.
Does this create a partnership between the parties?
No. The template creates a contractual joint venture and includes a clause confirming it is not a partnership — so, unless the parties expressly agree otherwise, neither party is the other's agent and each remains responsible for its own tax. For a large or long-term venture, it may be better to set up an incorporated company, which is worth discussing with a lawyer.
How are disputes resolved, and which law applies?
The agreement is governed by the laws of the Federal Republic of Nigeria. Disputes are first resolved amicably through consultation, and if that fails, by arbitration under the Arbitration and Mediation Act 2023 (which replaced the older Arbitration and Conciliation Act) before a single arbitrator, at a venue in Nigeria that you choose — while either party can still seek urgent relief from a court.
How is the agreement signed?
Each party signs through an authorized representative (for a company, usually a director), and the template includes space for a witness for each party, which is good practice in Nigeria and helps with enforceability. Both parties should keep a signed copy. For ventures involving regulated activities or licences, confirm any sector-specific requirements before you begin.
