Does a joint venture make the parties partners?

For some ventures a separate company or formal partnership may be more suitable, which is worth checking with a lawyer.
How are contributions, profits and decisions handled?
Each party's contribution (capital, assets or services) and its participating interest are recorded in the Schedule 1 table. Profits, losses and distributions are shared in proportion to those interests. The venture is run by a management committee with equal representation from each party; day-to-day matters are decided by majority, while major decisions — changing the purpose, the budget, large spending, or ending the venture — need both parties' consent.
What happens if a party wants to exit or the venture ends?
The agreement runs for the term you set, or until the purpose is achieved. Either party can end it for an unremedied material breach or the other's insolvency, and the parties can end it by agreement. On termination, the assets are realised, liabilities settled, and any surplus is shared by participating interest. Neither party can transfer its interest without the other's consent, and confidentiality and non-compete duties continue for the periods set.
Which law governs the agreement and how are disputes resolved?
You choose the governing law, so the template is not tied to one country. Disputes go first to discussion, then mediation, and if still unresolved, to arbitration under the rules and at the seat you name, while either party can still seek urgent interim relief from a court.
