A car sale agreement is the contract a seller and a buyer sign to formalize the sale of a motor vehicle. Just answer a few simple questions — the seller's and buyer's details, the vehicle's make, model, year, VIN and odometer reading, the price and payment terms, and the delivery date — and your personalized car sale agreement is generated instantly, ready to download as PDF or Word.
What this car sale agreement includes
- Clear identification of the Seller and Buyer, and full vehicle particulars (make, model, year, colour, VIN, engine number, plate number and odometer reading)
- A defined-terms section so the Vehicle, Purchase Price, Completion and Business Day mean the same thing throughout
- The purchase price, a non-refundable deposit, the balance and due date, and the accepted payment method
- Delivery and transfer of ownership: handover of keys, title, registration and service records, with title passing only on full payment
- Conditions precedent: inspection and test-drive window, proof of clear title, and accurate representations before the buyer must complete
- Representations and warranties, including clear-title, odometer-accuracy and no-write-off assurances, plus a fair "AS IS, WHERE IS" disclaimer
- Risk of loss, indemnification, a liability cap, defaults and remedies, and termination rights
- Confidentiality, a tiered dispute-resolution clause (negotiation → mediation → arbitration), and a governing-law clause you control
- Standard miscellaneous protections (entire agreement, amendments, assignment, notices, severability, counterparts) and a signature block with a witness

Who is this car sale agreement for?
Private individuals selling or buying a used car, small dealerships, and anyone who wants a thorough written record of a vehicle sale. Because it is jurisdiction-neutral and built on common-law principles, you set the governing law and arbitration venue, so the same format adapts to your country or state.

What is a car sale agreement and do I really need one?
A car sale agreement is a legally binding contract that records the terms of a vehicle sale ; who is selling, who is buying, the exact vehicle, the price, how and when it is paid, and when ownership passes. Even for a private, cash sale it is worth having: it proves the sale happened, protects both parties if a dispute arises later, and creates a clear record for transferring registration and settling any tax or liability.
When does ownership of the car actually transfer to the buyer?
Under this template, legal ownership passes only at Completion — that is, when the buyer has paid the purchase price in full and the seller has delivered the vehicle together with the keys, title/ownership document and registration certificate. Until then, title stays with the seller. The parties then file the transfer with the local vehicle authority to update the registration.
What does selling a car "AS IS, WHERE IS" mean?
"AS IS, WHERE IS" means the buyer accepts the vehicle in its current condition, with all existing faults, once the seller's specific promises (such as clear title and an accurate odometer) are met. It limits the seller's liability for issues discovered after the sale, which is why the template also gives the buyer an inspection and test-drive window before completion. Buyers who want additional guarantees should negotiate an express warranty period.
Who pays the transfer taxes, registration and other fees?
The template lets you choose. The purchase price is stated exclusive of transfer tax, registration fees and similar charges, and a field lets you specify whether the buyer or the seller bears those costs. Setting this clearly upfront avoids the most common post-sale argument.
Can I use this agreement in any country?
Yes. It is written on generic common-law principles and is jurisdiction-neutral, so it is not tied to a single country. You choose the governing law, the courts, and the arbitration venue, which lets the same format work across countries and states. Because local vehicle-transfer and consumer-protection rules differ, confirm any country-specific requirements, or have a local lawyer review it, before signing a high-value sale.
What happens if the buyer or seller fails to go through with the sale?
The agreement sets out clear defaults and remedies. A party in default gets a written notice and a cure period to fix the problem. If the buyer walks away, the seller may keep the non-refundable deposit as liquidated damages; if the seller defaults, the buyer can recover all sums paid and pursue other remedies, including specific performance where appropriate. A tiered dispute-resolution clause (negotiation, then mediation, then arbitration) keeps most disputes out of court.
